1. Agreement to Terms

By accessing or using Krate Solutions LLC services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Services Description

Krate Solutions LLC provides AI-powered voice agents, chatbots, automation services, website development, SMS and outbound calling, and reputation management designed to help businesses capture inquiries, qualify leads, and book appointments automatically.

3. AI Services Disclaimer

Our AI voice and chat agents are assistive tools that can make mistakes. The client is responsible for reviewing and approving all scripts, message content, and call flows before they go live, and for supervising outcomes produced by the AI agents. We do not guarantee specific results such as revenue, rankings, or lead volume. AI-generated content and interactions should be monitored regularly to ensure accuracy and appropriateness for the client's business.

4. User Responsibilities

You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Use our services in compliance with all applicable laws
  • Not misuse or attempt to disrupt our services

5. Messaging and Calling Compliance

The client is the sender and caller of record for all messages and calls sent through our platform. The client must hold all consents required by the Telephone Consumer Protection Act (TCPA) and any other applicable federal, state, or local law to contact its customers and leads by call and text message. The client will not use the service for any unlawful, deceptive, fraudulent, or prohibited content, including content that violates carrier acceptable use policies. The client is solely responsible for the accuracy and completeness of its A2P 10DLC registration information and for maintaining compliance with all messaging and calling regulations applicable to its industry and jurisdiction.

6. Payment Terms

Subscription fees are billed monthly in advance. All fees are non-refundable except as required by law. We reserve the right to change our pricing with 30 days notice.

7. Service Availability

We target high availability but do not guarantee uninterrupted or error-free service. We are not liable for any downtime or service interruptions beyond our reasonable control.

8. Intellectual Property

All content, features, and functionality of our services are owned by Krate Solutions LLC and protected by copyright, trademark, and other intellectual property laws.

9. Indemnification

The client agrees to indemnify, defend, and hold harmless Krate Solutions LLC, its officers, employees, and agents from and against any and all claims, damages, liabilities, losses, and costs including reasonable attorney fees arising out of or related to: the client's content, scripts, and messages; the client's contact lists and the lack of any required consent to contact those individuals; the client's breach of these Terms; or the client's misuse of the calling and messaging services.

10. Limitation of Liability

Krate Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services.

11. Termination

Either party may terminate the service agreement with 30 days written notice. We reserve the right to suspend or terminate accounts that violate these terms.

12. Governing Law and Disputes

This agreement is governed by the laws of the State of Texas without regard to its conflict of law principles. The exclusive venue for any dispute arising out of or relating to this agreement lies in the state or federal courts located in Texas. The prevailing party in any such dispute is entitled to recover its reasonable attorney fees and costs. Before initiating any formal legal action, the parties agree to attempt in good faith to resolve any dispute through direct communication and negotiation.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through our service.
